Wendy's Franchisee Files for Bankruptcy Amidst Fierce Burger Chain Competition

Meritage Hospitality, one of Wendy's largest franchisees, has filed for Chapter 11 bankruptcy protection, citing its struggle to compete against rival burger chains like McDonald's and Burger King. The company operates 314 Wendy's restaurants, along with one Bojangles and five other independently branded restaurants across 15 states.

In a statement, Meritage attributed its financial difficulties to "system-wide pressures" impacting Wendy's brand, which forms the substantial majority of its portfolio. Wendy's itself has faced challenges, reporting same-store sales declines for six consecutive quarters. This period has seen customers shift towards McDonald's for value or to Burger King, which has been investing in menu improvements and customer service.

Burger King surpassed Wendy's to become the second-largest burger chain in the U.S. in August, ending Wendy's six-year tenure in that position. Meritage CEO Bob Schermer Jr. noted in June that store-level earnings before interest, taxes, depreciation, and amortization had decreased by 48% in 2025. He highlighted soaring beef prices and increased discounting as factors contributing to reduced profits.

The fast-food industry has also seen leadership instability at Wendy's, with three CEOs appointed since Todd Penegor stepped down in 2024, a situation that has reportedly stalled turnaround efforts.

Wendy's current CEO, Bob Wright, acknowledged in August that the chain was "clearly not performing at our potential," citing issues with traffic, value proposition, and franchisee economics. He announced a new five-point turnaround plan.

Wendy's stock has experienced a significant decline, losing two-thirds of its value over the past three years and falling more than 16% year-to-date. To re-engage customers, the chain is relaunching its vintage bright yellow packaging in stores starting September 28.

Meritage Hospitality plans to keep its restaurants operational during the restructuring process and continue paying its approximately 9,000 employees. The franchisee estimates its assets and liabilities each fall within the $10 million to $50 million range. Wendy’s franchise business, Quality Is Our Recipe LLC, is listed as Meritage’s top unsecured creditor with a claim of $24.9 million for deferred fees.
