Super Retail Board Faces Shareholder Scrutiny Amid Legal Battle
Investors are preparing to question the company's leadership at an upcoming AGM, as former CEO Anthony Heraghty faces legal action from ASIC.
The board of Super Retail Group is set to face a challenging annual general meeting (AGM) as shareholders demand answers regarding recent controversies. The company's leadership will confront tough questions against the backdrop of a legal dispute involving former Chief Executive Anthony Heraghty and the Australian Securities and Investments Commission (ASIC).
Heraghty's legal battle with ASIC is scheduled to commence next week. Concurrently, Super Retail shareholders are preparing to confront the board with a series of potentially uncomfortable questions at the AGM. These investor concerns arise following an alleged HR affair scandal that has drawn regulatory attention.
Sources indicate that the upcoming AGM will be tense, with investors seeking clarity on the circumstances surrounding Heraghty's dismissal in September last year. Heraghty, who joined as Chief Executive in 2019, also served as a board member until his departure.
ASIC's case involves allegations related to Heraghty's conduct and his disclosure of a relationship with Jane Kelly, the former Chief Human Resources Officer. Kelly was retrenched in January 2024, and her redundancy package is reportedly a key element of ASIC's case.
Court documents allege that Heraghty provided the board with misleading information and authorized a misleading market announcement by failing to disclose his relationship with Kelly. The documents also suggest that Heraghty and Kelly enjoyed a weekend getaway at an Airbnb in Whale Beach and toured Heidelberg, Germany.
Furthermore, court documents include mock-ups of messages allegedly sent by Heraghty to his ex-wife, in which he expressed his commitment to protecting their family and urged her to keep their affair and marriage breakdown private. In one message, he stated he was doing everything he could to protect their family and keep his affair and the breakdown of their marriage under wraps.
Super Retail Group is the parent company of well-known retail brands including Rebel, Supercheap Auto, and Macpac. The company's performance and governance are under scrutiny as it navigates these significant legal and corporate challenges.
