Paramount is set to finalize its $81 billion acquisition of Warner Bros. Discovery in the coming weeks. This development follows Paramount's settlement of an antitrust suit with California Attorney General Rob Bonta on Monday, which clears the final hurdle for the merger. The combined entity will oversee operations of both CBS News and CNN, alongside studio assets like Paramount Pictures and Warner Bros., and streaming services HBO Max and Paramount+.

Paramount has projected at least $6 billion in cost savings from the merger, a figure that industry observers believe will translate into thousands of job losses across the combined companies. At CNN, employees report a significant lack of communication from leadership regarding the merger's impact and potential new management structure. CNN CEO Mark Thompson is scheduled to address staff in a town hall on Wednesday, though little clarity is expected before the deal officially closes.

Concerns are amplified by recent changes at CBS News under Paramount's leadership. Insiders point to the overhaul of CBS News, particularly its flagship program "60 Minutes," which saw significant staff departures, including long-time correspondent Scott Pelley. Critics argue these changes have led to declining ratings and an "unfixed" product. A CBS source lamented the "vandalism" allegedly done to CBS News, expressing fears that similar actions at CNN would be "catastrophic."

Paramount CEO David Ellison has pledged to establish independent editorial boards for both CBS News and CNN as part of the settlement with state attorneys general, an effort aimed at assuaging antitrust concerns. However, sources within CNN have expressed skepticism about the feasibility and enforceability of such boards.

CNN staffers are reportedly hoping that Mark Thompson will continue to lead the network without interference from new management. Another point of contention is the significant foreign investment in the merged company, with Saudi Arabia, Qatar, and Abu Dhabi holding a 49.5% equity stake. This has raised concerns among CNN employees about potential impacts on international coverage, despite assurances that the foreign funds will not hold voting stock.
