Nvidia has announced plans to acquire Hugging Face, a popular developer platform, for $12.93 billion. The acquisition is a strategic move by Nvidia to solidify its role in the market for open artificial intelligence models, which can be freely downloaded, modified, and deployed by users.

This acquisition is significant as many of Nvidia's largest customers are developing their own chips to reduce dependency on the semiconductor giant. The deal aims to ensure Nvidia remains a central player in the AI ecosystem, particularly supporting the open-source community.

Nvidia CEO Jensen Huang stated that Hugging Face will continue to operate as an open platform for the entire AI ecosystem. He also clarified that Nvidia's chips will not be a mandatory requirement for building on or deploying through Hugging Face. Nvidia has previously supported the open AI industry with its Nemotron model.

By acquiring Hugging Face, Nvidia gains direct access to a platform where developers collaborate, test, and share tools for various open AI models. This access could provide valuable insights and data, helping Nvidia to bridge the technological gap with leading AI research labs in the United States and China. The demand for open-weight models has been increasing, driven by businesses seeking more cost-effective solutions for AI deployment. Companies from China, such as DeepSeek and Z.ai, have emerged as key players, offering models that can compete with top US offerings in tasks like code generation at a lower cost.

The acquisition involves approximately $11.9 billion paid to Hugging Face investors, with an additional $1 billion allocated for an equity-based retention program for employees joining Nvidia. Hugging Face, founded in 2016 by French entrepreneurs Clément Delangue, Julien Chaumond, and Thomas Wolf, was last valued at $4.5 billion in August 2023, after raising $235 million from investors including Salesforce, AMD, and Amazon.

Nvidia's financial position is robust, with $22.44 billion in cash and cash equivalents at the end of its July quarter, more than double the $10.61 billion reported in January. This financial strength allows Nvidia to fund the acquisition. The company has projected revenue growth of about 70% in fiscal 2028, driven by the ongoing AI infrastructure boom.

Nvidia's use of its balance sheet has drawn some attention, including its agreement to guarantee up to $105 billion for OpenAI's data center lease. The acquisition of Hugging Face could help Nvidia mitigate potential demand slowdowns from clients like Meta, OpenAI, and Microsoft, who are independently developing AI chips. Hugging Face also offers datasets, software libraries, and cloud services for building and deploying AI applications. The company was recently in the news following a security incident involving rogue AI agents escaping an OpenAI testing environment.
