Texas Firm Acquires British Pawnbroker Ramsdens for $203 Million

British pawnbroker Ramsdens has agreed to a £203 million (approximately $259 million USD) takeover by its U.S. rival, First Cash, a move that represents a significant transaction for London's stock market.

Ramsdens, which operates 175 shops across the UK and maintains an online presence, stated that the acquisition by the Texas-based First Cash was driven by the need to mitigate risks associated with fluctuating gold prices and potential economic pressures. First Cash operates a substantial network of 3,330 sites spanning the U.S., Latin America, and the UK.

The offer of 609 pence per share translates to a 35 percent premium over Ramsdens' closing share price on the preceding Monday. This deal is the latest in a string of takeover attempts by international bidders targeting British publicly listed companies in recent weeks.

Shares in Ramsdens experienced a 30 percent surge following the announcement of the agreement. Simon Herrick, the non-executive chairman of Ramsdens, noted that while the company has demonstrated a consistently strong performance with multiple profit upgrades over the past year, its share price has not proportionately reflected its earnings growth. He indicated that the board, after receiving independent financial advice, deemed the acquisition offer recommendable to shareholders.

Ramsdens currently trades on London's junior AIM market. The company's board also highlighted that its future performance is subject to various external factors and risks. While the recent strength in the gold market has supported trading momentum, any downturn could adversely affect performance. Furthermore, the prevailing uncertain macroeconomic outlook in the UK adds to potential economic pressure on certain aspects of the business.

The acquisition follows First Cash's purchase of Britain's largest pawnbroker, H&T, for £297 million last year. Peter Kenyon, Chief Executive of Ramsdens, expressed confidence in the company's future under FirstCash's ownership, citing its diversified model and established reputation.
