Paramount Skydance Completes $110 Billion Warner Bros. Discovery Takeover, Raising Industry Concerns

Paramount Skydance has finalized its acquisition of Warner Bros. Discovery in a $110 billion deal, consolidating major Hollywood assets and raising concerns among industry professionals and consumers about potential price hikes and workforce reductions.

The newly formed entity, named Skydance and led by CEO David Ellison, brings together the film and television libraries of Paramount, known for classics like "The Godfather" and "Titanic," with Warner Bros.' iconic franchises such as "The Wizard of Oz," "Casablanca," "Barbie," and "Harry Potter."

The combined company also encompasses television networks including CBS and CNN, alongside streaming services Paramount+ and HBO Max. The combined company's shares began trading on the New York Stock Exchange under the ticker 'SKYD' after transferring from Nasdaq.

"Today is a historic day, not just for Skydance but for our entire industry," Ellison stated. "From the start, our ambition was to bring these two storied studios together and create a stronger competitor, with the talent, resources, and reach to tell great stories in every genre, on every platform, for audiences everywhere. Now that ambition is a reality."

Despite the optimistic outlook from leadership, analysts and industry observers have voiced apprehension regarding the financial implications of the deal. Mike Proulx, research director at Forrester, noted that the approximately $80 billion in debt incurred to finance the acquisition could lead to increased subscription costs for consumers of services like HBO Max and Paramount+.

"It’s hard to imagine that streaming price hikes aren’t in Skydance’s future," Proulx commented.

The merger faced and overcame significant legal hurdles, including settlements with a coalition of U.S. states led by California and a Hollywood writers' union. However, anxieties persist regarding potential job losses across various sectors of the entertainment industry, including actors, writers, and behind-the-scenes crew members. Staff at news divisions like CNN and CBS also anticipate potential cutbacks.

Skydance, founded in 2010 by David Ellison, the son of billionaire Larry Ellison, has grown rapidly. The studio gained prominence as a financial backer and producer of Paramount's "Top Gun: Maverick." Following its merger with Paramount last year, Skydance pursued Warner Bros. Discovery, ultimately winning out in a competitive bidding process that included Netflix.

The decision to retain the Skydance name, rather than creating a new brand, is intended to preserve the individual identities of the Paramount and Warner Bros. studios. However, some analysts interpret the naming as a reinforcement of Ellison's control over these established Hollywood brands.
