Paramount Halts Warner Bros. Deal Amid State Antitrust Challenge

Paramount and Skydance have agreed to temporarily halt their proposed $110 billion acquisition of Warner Bros. Discovery, awaiting a federal judge's decision on a lawsuit filed by California and 11 other states. The companies submitted court documents on Friday confirming the pause, which will remain in effect until five days after the judge rules on the merits of the case, or until June 1, 2027, whichever occurs first.

The lawsuit, filed on July 13, contends that the proposed merger would result in a media conglomerate with excessive power, potentially leading to increased prices for film and television content. This pause could impose significant financial penalties on Paramount Skydance, with daily fees of approximately $7 million agreed upon for Warner Bros. shareholders if the merger does not conclude by September 30.

Historically, similar merger challenges have taken an average of eight months for a judicial ruling, according to a review of recent cases by Reuters.
