DoorDash to Acquire Instacart in $17 Billion Deal

DoorDash has announced its intention to acquire grocery delivery firm Instacart in a $17 billion deal, a move that is expected to significantly broaden the range of services available to customers.

The transaction, anticipated to be finalized within approximately one year, will allow DoorDash to expand its reach beyond restaurant deliveries into the retail sector. Instacart shoppers will gain access to an expanded network of 150,000 stores, up from the current 100,000.

"Together, we can accelerate innovation across the grocery industry and make online grocery more seamless and affordable for the millions of households we serve," Instacart's chief executive stated. "Over the last 14 years, Instacart has transformed online grocery by helping retailers of all sizes compete and grow, and joining forces with DoorDash allows us to do even more."

DoorDash CEO Tony Xu highlighted that the acquisition would leverage Instacart's expertise in grocery selection and substitutions, addressing the complexities of online grocery shopping, such as selecting produce and maintaining the temperature of frozen goods. "Instacart has spent years learning to do that well for grocers, while DoorDash has built a delivery network and technology that local stores rely on every day," Xu added.

This deal represents DoorDash's largest acquisition to date and could position it more competitively against other major delivery platforms. Analysts suggest that the delivery market's growth is shifting from restaurant orders to more frequent, higher-value purchases like weekly grocery shops and convenience items.

DoorDash plans to acquire Instacart for $65 per share, which represents a 26% premium over Instacart's closing stock price on October 22, prior to news of a potential merger emerging. The acquisition will be financed with at least 75% cash.

Following the completion of the deal, DoorDash intends to maintain Instacart's brand, app, and technological infrastructure. Both delivery services are expected to continue operating independently until the acquisition is officially concluded.

However, the proposed merger may face scrutiny from antitrust regulators. New York City's commission on consumer and worker protections commented on the deal, calling it "a troubling trend of mega-corporations consolidating" and reaffirming its commitment to enforcing delivery workers' rights regardless of the merger's outcome.
