Activist Investor Nelson Peltz Offers to Buy Wendy's

Shares of Wendy’s surged 15% in early trading Wednesday following an offer from activist investor Nelson Peltz to acquire the struggling fast-food chain. Peltz's Trian Fund Management and its partners have proposed paying $7.35 per share in cash for Wendy's, representing a nearly 19% premium over the stock's closing price on Tuesday.

Peltz, in a letter to Wendy's board of directors, stated that taking the company private would "deliver the best outcome for the broader stakeholder base." He highlighted the "critical juncture" the company faces, citing significant pressures on the U.S. consumer, economic uncertainty, persistent commodity inflation, and intensifying competition within the quick-service restaurant burger sector.

Wendy's shares have experienced a notable decline, falling 25% over the past year. The company, founded in 1969, has seen its same-store sales—a key metric for restaurants open at least a year—decrease for over two consecutive years, including the first two quarters of 2026. The Dublin, Ohio-based company has historically been recognized for its square burgers and Frosty dessert.

Trian's current stake in Wendy's totals 16.3%, according to a regulatory filing submitted Wednesday. Peltz has a history of investments in major corporations, including Procter & Gamble and Disney.

Wendy's declined to comment on the buyout offer. The company is scheduled to release its quarterly financial results next week. Analysts on average anticipate Wendy's will report earnings of 9 cents per share on sales of $531 million.
